Channel Partner Agreement

This Channel Partner Agreement governs participation in An Affiliate Life, the Legacy Builder | Channel Partner Network and Enterprise Distribution Network of the ODIECLOUD²π Ecosystem.

1. Independent Channel Partner Status

The Channel Partner is an independent participant and is not an employee, staff member, legal agent, officer, director, ODIEBOARD member, or representative unless a separate written appointment is issued by authorized governance authority.

2. Ecosystem Relationship

A Channel Partner may also hold separate ecosystem relationships, including Founding Member, AUREON9 Member, Equity Affiliate, Equity Partner, Customer, Supplier, Vendor, Strategic Partner, Technology Partner, Tourism Partner, or Investor.

3. Sponsor and Network Structure

Each Channel Partner may sponsor other Channel Partners, customers, prospects, and membership participants. Network activity shall be tracked through Channel Partner ID, Sponsor Channel Partner ID, Root Channel Partner ID, Partner Network Path, Master Entity Registry records, and Master Lines of Communications records.

4. Duties and Conduct

The Channel Partner shall promote ecosystem products and opportunities ethically, accurately, and professionally and shall not make unauthorized income claims, legal representations, investment guarantees, employment promises, or statements inconsistent with approved AAL materials.

5. Marketing License

AAL may provide approved marketing materials, funnels, landing pages, scripts, email templates, autoresponders, presentations, images, videos, and digital tools. The Channel Partner receives a limited, revocable, non-exclusive license to use approved materials solely for authorized AAL promotion.

6. Compensation

Commission eligibility, rank advancement, bonuses, payouts, AUREX wallet activity, and recognition are governed by the approved AAL Compensation Plan, Rank Qualification Rules, Commission Ledger, and applicable ecosystem policies. No income is guaranteed.

7. Training and Certification

The Channel Partner may be required to complete onboarding, certification, sales, marketing, compliance, and leadership training before accessing certain tools, products, ranks, or compensation categories.

8. Data, Privacy, and Communications

The Channel Partner consents to the collection and processing of information necessary for onboarding, identity verification, compliance, communications, commissions, reporting, dashboard access, and network administration.

9. Intellectual Property

All ODIECLOUD²π, ODIEBOARD OrgOS™, AAL, AUREX, AUREON9, ODIXA, ODIEXA, Oπ Intelligence, marks, names, systems, documents, designs, software, training, and materials remain the intellectual property of their lawful owners.

10. Termination

AAL may suspend or terminate Channel Partner access for misconduct, fraud, misrepresentation, policy violation, unethical activity, security risk, reputational harm, or breach of this Agreement.

11. Electronic Signature

By submitting the digital application and typed signature, the applicant confirms that they have reviewed, understood, and accepted this Agreement and all referenced policies.

This web agreement is intended for operational onboarding and should be reviewed by corporate/legal counsel before final production legal deployment.
